Corporate and share transactions

We execute corporate acts as notarial deeds where the security of the transaction warrants it, and support business transfer transactions.

What we do

Transfers of shares and of businesses (fonds de commerce), unilateral and bilateral preliminary agreements.
Contributions in kind and contributions of shares, mergers, demergers, partial contributions of assets.
Capital increases and reductions, transactions in securities.
Shareholders’ agreements and collective undertakings executed as notarial deeds.
Warranties and indemnities and the security backing them.
Structuring of ownership: holding companies, civil companies (sociétés civiles), split of bare ownership and usufruct.
Business transfers and Dutreil undertakings.

Certain date and safekeeping, with no risk of losing the instrument.
Enhanced evidential weight of the notaire’s findings.
Enforceability of payment undertakings (French Code of Civil Enforcement Procedures, art. L. 111-3, 4°), useful for deferred consideration or an earn-out clause.
Systematic verification of the signatories’ capacity and authority.
