• Acquisitions and disposals of single assets and portfolios, by way of asset deal or share deal; preliminary agreements, deeds of sale, share transfer deeds.
• Sale and leaseback, off-plan sales (VEFA) and off-plan leases (BEFA) of whole buildings.
• Asset classes: offices, logistics and light industrial, retail, hotels, healthcare, residential blocks.
• Documentary due diligence: title, easements, planning, tenancies, environment, construction insurance — with due diligence notes delivered before signing.
• Electronic data room: set-up, indexing, Q&A, through to delivery of the closing file.
• Commercial leases and occupancy agreements attached to the assets sold.
• Acquisition financing and security, handled by the office’s finance practice on the same timetable.

1. Scoping: reading the letter of intent, transaction timetable, scope of due diligence and allocation of roles with the advisers.
2. Due diligence: data room, Q&A, due diligence notes (title, easements, planning, leases).
3. Documentation: preliminary agreement, conditions precedent, warranties, deeds of sale or share transfer, and where applicable loan deed and security.
4. Signing, formalities, registration and delivery of land registry extracts; delivery of the closing file.
